To redeem, recipients of the Grubhub x Shake Shack White Truffle Delight Box (the “Box”) must make a public (non-private) post including a picture of the Box delivered to them on their Twitter, Instagram and/or Tik Tok account and tag @ShakeShack and @Grubhub. A qualifying public social media post must be made by March 12, 2023 at 11:59 PM local time. SWEEPSTAKES PERIOD: The Grubhub x Shake Shack White Truffle Hunting in Italy Sweepstakes (the “Sweepstakes”) begins at 12:00 AM US Eastern Time (“ET”) on March 6, 2023 and ends at 11:59 PM ET on March 12, 2023 (the “Sweepstakes Period”). The computer clock of Grubhub Holdings Inc. (the “Sponsor”) is the official time-keeping device in the Sweepstakes. By participating, entrants (“Entrants”) agree to be bound by these Official Rules and the decisions of the Sponsor, which are binding and final on matters relating to this Sweepstakes.

ELIGIBILITY: Sweepstakes is open only to legal residents of the fifty (50) United States and District of Columbia (NOT including residents of Puerto Rico or other U.S. Territories), who are at least eighteen (18) years of age or the age of majority in their state of primary residence (whichever is older) at time of Sweepstakes Entry and have a valid, active Grubhub Account. Employees, officers and representatives of the Sponsor, Southern Made Services, LLC (the “Administrator”), Shake Shack, and each of their respective parents, affiliates, subsidiaries and web-design, advertising, marketing, fulfillment, judging and promotion agencies, or other agency involved in the administration, development, fulfillment and execution of this Sweepstakes, and their Immediate Family Members, as defined below, of each, and those persons living in the same households, whether or not related, are not eligible to participate in the Sweepstakes. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, and their respective spouses. “Household members” shall mean people who share the same residence at least three (3) months a year. Winning a Prize is contingent on fulfilling all requirements in these Official Rules. All federal, state and local laws and regulations apply. Void where prohibited or restricted. All Sweepstakes Entries are the property of the Sponsor.

HOW TO PARTICIPATE: During the Sweepstakes Period, there are two (2) ways to participate.

Automatic Entry: To receive one (1) entry in the Sweepstakes (“Automatic Entry”), download the Grubhub App (“App”) on a compatible smartphone or other mobile device and/or visit www.Grubhub.com “(the “Website”). Create an account (“Account”) and then follow the instructions on screen to complete Entrant’s Account or log into Entrant’s existing Account. Order from Shake Shack on the App or the Website during the Sweepstakes Period, and enter the promo code SHACKTRUFFLE at checkout. Follow the on-screen instructions to place your order. You will receive one (1) Automatic Entry, once your order has been placed.

Alternative Means of Entry (“AMOE“): To receive one (1) Sweepstakes Entry without making a purchase (“AMOE”), hand-print your name, complete address (no P.O. boxes permitted), phone number (including area code), date of birth and the email address affiliated with your Grubhub Account on a 3” x 5” piece of paper and mail in an envelope with proper first class postage affixed to: Grubhub Holdings Inc., Attn: Grubhub x Shake Shack White Truffle Hunting in Italy, 111 W. Washington St., Suite 2100, Chicago, IL, 60602. All AMOE’s must be postmarked by March 12, 2023 and received by March 17, 2023. Each AMOE must be mailed separately. Multiple AMOE’s delivered in a single envelope will be disqualified. On delivery of AMOE, Sponsor will submit Entrant’s name in the Sweepstakes.

Entrants must have a valid, active free Grubhub Account to participate in the Sweepstakes and to redeem Prizes, regardless of method of entry.

Automatic Entries or AMOEs (collectively “Sweepstakes Entries”) generated by script, macro or other automated means, and Sweepstakes Entries by any means which subvert the entry process, are void. By submitting a Sweepstakes Entry , you agree to the Official Rules and are willing provide your information to the Sponsor and the Administrator. No photocopied or mechanically reproduced Sweepstakes Entries accepted. Sweepstakes Entries become the property of the Sponsor and will not be returned.

There is a limit of one Sweepstakes Entry per person during the Sweepstakes Period, regardless of entry method. Any attempt to enter more than the permitted number of times with multiple identities, accounts, email addresses, or by any other means, may result in disqualification. Proof of transmission is not proof of receipt. Each Automatic Entry will be deemed submitted by the authorized account holder. Each AMOE will be deemed submitted by the individual named in the 3×5 card. The “authorized account holder” is defined as the natural person who signed up for the Account. Sweepstakes Entries which are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost or misdirected, will be void. There is a limit of one (1) Prize per person throughout the Sweepstakes Period. For purposes of this Sweepstakes, a “day” begins at 12:01 AM ET and ends at 11:59 PM ET

All Entries become the property of the Sponsor and will not be acknowledged or returned. If, in the opinion and sole and absolute discretion of Sponsor, any entry violates any law, rule or regulation or infringes upon the rights of any third party, is inaccurate, illegible, incomplete or irregular in any way, or otherwise does not comply with these Official Rules, Sponsor may disqualify the entry. This Sweepstakes may be canceled in the event that, in the sole discretion of Sponsor, an insufficient number of eligible entries are received.

Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Instagram and/or Twitter.

SWEEPSTAKES PRIZE DRAWING & WINNER NOTIFICATION: The potential winner (“Potential Winner”) will be selected in a random drawing held on or about March 20, 2023, from all eligible entries received during the Sweepstakes Period (“Eligible Entries“). Odds of winning will depend on the number of Eligible Entries received during the Sweepstakes Period. Entrants need not be present at the drawing to win. Potential Winner will be notified via email using the email account supplied at time of entry. Notification shall be deemed to occur when the email notification is sent from Sponsor’s computer to Potential Winner’s email address provided during the entry process.

Potential Winner will be required to execute and return an affidavit of eligibility, a taxable income form, a winner release and, where lawful, a publicity release (“Claim Form“) within three (3) days of date of notification by Sponsor (“Submission Deadline“).

A POTENTIAL WINNER IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL A POTENTIAL WINNER’S ELIGIBLITY IS VERIFIED AND THE POTENTIAL WINNER IS NOTIFIED VERIFICATION IS COMPETE (“Qualified Winner“). If a Potential Winner fails to submit the Claim Form with all information required by the Submission Deadline, the email notification is returned as undeliverable, the Sponsor or its agent is unable to contact a Potential Winner, or a Potential Winner is cannot prove they are a Qualified Winner, Prize will be forfeited and, at the Sponsor’s discretion, an alternate Potential Winner may be selected. The Sponsor reserves the right not to award a Prize in the event the Sponsor is unable to identify and confirm a Potential Winner after attempting to contact alternate Potential Winners.

SWEEPSTAKES PRIZES (1): There is one prize (“Prize”) available to be awarded. Qualified Winner will receive a $9,000 travel voucher and $4,000 check for incidental charges.

The Approximate Retail Value (“ARV”) of Prize is $13,000. Total ARV of all Prizes available in this Sweepstakes is $13,000.

PRIZE CONDITIONS: Prize consists only of the elements expressly set forth above; no other elements are included in the Prize and all such expenses are the sole responsibility of the Qualified Winner. Qualified Winner is responsible for all applicable federal, state, local sales and income taxes and any costs, expense(s) or fees whatsoever in connection with the Prize not specifically provided herein. In the event that, for reasons beyond their control and not related to the Qualified Winner, the Sponsor or independent third-party company is unable to award any Prize as described in these Official Rules (including if the designated Prize should become unavailable for any reason), the Sponsor will substitute the Prize with another prize of similar nature and equal or greater value at its sole discretion. The Prize is non-assignable and non-transferable and is not redeemable for cash and no substitution will be made except as provided herein at the Sponsor’s sole discretion. If a Qualified Winner is unable to accept a Prize in its entirety for any reason, the Qualified Winner will forfeit the Prize and the Prize may be awarded to an alternate Qualified Winner. All Sweepstakes Entries and Potential Winners are subject to verification by the Sponsor and the Administrator, whose decisions are final and binding. No compensation will be paid in lieu of a Prize.

Prizes will be emailed and mailed to the email and mailing address provided during Potential Winner notification. Shipping in the continental United States only (no P.O. Boxes). Prizes may take 8-10 weeks to arrive after Qualified Winner verification. If email or mailing address provided by Qualified Winner cannot be verified, Sponsor is under no obligation to correct and/or send the Prize.

Prize will be awarded provided that a sufficient number of Sweepstakes Entries are received, and the Prize is claimed in accordance with the dates and times specified above.

Trip must be booked thirty (30) days prior to intended departure date if possible. The Winner and Guest must have all necessary identification including but not limited to a valid passport, visa (if applicable). Prize consists only of the elements expressly set forth above; no other elements or expenses (including, without limitation, insurance, meals, unspecified ground transportation, phone calls, gratuities, incidentals, souvenirs, gasoline, car rental, etc.) are included in the Prize and all such additional expenses are the sole responsibility of Winner. Travel arrangements must be made through Sponsor’s third party partner. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Winner may be required to provide a credit card at time of accommodation check-in to cover incidentals.

DATA COLLECTION: BY CHOOSING TO ENTER THIS SWEEPSTAKES, EACH ENTRANT ACKNOWLEDGES AND AGREES THAT (i) THE ENTRANT HAS OPTED-IN TO SPONSOR’S PRIVACY POLICY AVAILABLE AT http://www.grubhub.com/legal/privacy-policy AND (ii) BY OPTING-IN, THE ENTRANT HAS READ AND CONSENTS TO SPONSOR’S PRIVACY POLICY AND TERMS OF USE (http://www.grubhub.com/legal/terms-of-use). EACH ENTRANT FURTHER ACKNOWLEDGES THAT IF THEY ARE CHOSEN AS A POTENTIAL WINNER, CERTAIN IDENTIFYING INFORMATION MAY BE DISCLOSED TO THIRD PARTIES AT LEAST AS REQUIRED BY LAW INCLUDING, WITHOUT LIMITATION, ON A WINNERS’ LIST.

GENERAL CONDITIONS: Sweepstakes qualification is determined when a qualifying purchase is made on the Website or App, or when an AMOE is received. Proof of identity and/or residence reasonably satisfactory to the Sponsor and/or the Administrator may be required to verify eligibility. The Sponsor and the Administrator have the right to determine Sweepstakes eligibility in their discretion; all decisions concerning Sweepstakes eligibility are final. Any effort to circumvent the Sweepstake’s limits, requirements or other terms (including, but not limited to, providing fictitious information or concealing identity or location) voids submissions and disqualifies person from participating in the Sweepstakes. Entrants may be disqualified if Sponsor learns that the entrant disparages the Sponsor during or after the Sweepstakes Period. Entrants should be aware that Sponsor retains the right to take legal action against entrants who commit libel or slander against Sponsor during or after the Sweepstakes Period.

RELEASE: BY PARTICIPATING OR ACCEPTING A PRIZE, ENTRANTS RELEASE AND AGREE TO HOLD HARMLESS THE SPONSOR, SHAKE SHACK, SWEEPSTAKES PARTNERS, PRIZE

SUPPLIERS, INSTAGRAM, TWITTER® AND THEIR RESPECTIVE PARENTS, ITS OFFICERS DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS (“RELEASED PARTIES”) FROM ANY AND ALL EXISTING OR FUTURE ACTUAL OR ALLEGED ACTIONS, CLAIMS AND/OR LIABILITIES OF WHATEVER NATURE INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, BODILY INJURY (INCLUDING WITHOUT LIMITATION WRONGFUL DEATH AND DISABILITY), PROPERTY DAMAGE, AND LOSS OR DAMAGE OF ANY OTHER KIND, ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE, PARTICIPATION IN THIS, AND/OR PARTICIPATION IN ANY CONTEST OR PRIZE RELATED ACTIVITIES.

ENTRANTS ACKNOWLEDGE THAT THE RELEASED PARTIES HAVE NOT MADE NOR ARE RESPONSIBLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO OR IN CONNECTION WITH THE SWEEPSTAKES, ANY SWEEPSTAKES MATERIALS, GUIDANCE OR COMPONENTS THERETO, INCLUDING, WITHOUT LIMITATION, QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Prizes awarded may carry their own terms and conditions and product warranty, for which the Released Parties have no responsibility of liability. Released Parties will have no liability whatsoever for failure to supply a prize or any part thereof, by reason of any acts of God, any severe weather, hurricane, flood, fire, war, transportation interruption of any kind, or any other cause beyond their control. By participating, Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prizes awarded, shall be resolved individually without resort to any form of class action; (b) to the extent permitted by applicable law, any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney’s fees; and (c) unless specifically prohibited by law, under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses

LIMITATION OF LIABILITY: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail. No more than the stated number of Prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right toward only the stated number of Prizes by a random drawing from among all eligible Prize claims.

INDEMNITY: Participants agree to release, indemnify, defend, and hold harmless the Released Parties from any and all liability (including, but not limited to, liability for any property loss, damage, personal injury, bodily injury, death, loss, expense, accident, delay, inconvenience or irregularity), costs and expenses (including without limitation, reasonable outside attorney’s fees) arising out of or relating in any way to: (a) your participation or inability to participate in the Sweepstakes, (b) typographical errors in the Official Rules or any Sweepstakes promotional materials, (c) acceptance or possession, defects in, use, misuse or inability to use an Prize (or any component thereof), (d) any change by any company or any other person providing any of the components of a Prize due to reasons beyond any of the Released Parties’ control or as otherwise permitted hereunder, (e) any interruptions in or postponement, cancellation, or modification of the Sweepstakes, (f) human error, (g) incorrect or inaccurate transcription, receipt or transmission of any part of the Sweepstakes Entry (including, without limitation, the entry information or any parts thereof), (h) any technical malfunctions or unavailability of the Sweepstakes site or any telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by any of the Released Parties or by you, (i) interruption or inability to access the Sweepstakes, any Sweepstakes-related web pages, or any online service via the internet due to hardware or software compatibility problems, (j) any damage to your (or any third person’s) computer and/or its contents related to or resulting from any part of the Sweepstakes, (k) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions, (l) any wrongful, negligent, or unauthorized act or omissions on the part of any of the Released Parties, or any of their agents or employees, or (m) any other cause, condition or event whatsoever beyond the control of any one or more of the Released Parties. Each Winner hereby acknowledges that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any Prize or component thereof, including any express or implied warranties provided by any of the Prize suppliers associated with this Sweepstakes.

Participants assume all liability for an injury or damage caused, or claimed to be caused, by participation in this Sweepstakes, use of the Website, or the acceptance, receipt, or use of any Prize or Prize component. Participants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees.

CANCELLATION, SUSPENSION, OR MODIFICATION: Sponsor reserves the right to cancel,

suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion, and in such event, Sponsor may select a Potential Winner from the Eligible Entries received prior to cancellation or suspension, in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner, and to prosecute or cooperate in the prosecution of any such individual, to the fullest extent permitted by law. The use of automated or third party software or website to play the Sweepstakes is prohibited. Electronically or mechanically reproduced entries shall be disqualified. In the event of a dispute, all Automatic Entries will be deemed to have been submitted by the owner of the Account used to submit the Automatic Entry. For these purposes, the Account holder shall mean the natural person whose email was used to sign up for the account and who was assigned the email address by the Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with such email account. Disqualified or ineligible Entrants shall forfeit any awarded Prizes. Forfeited Prizes may be re-awarded to alternate winners in Sponsor’s sole discretion. All properly claimed Prizes will be awarded provided a sufficient number of Eligible Entries are received. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Notice of suspension/modification will be posted on this page.

DISPUTES: Except where prohibited, Entrant agrees to waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including without limitation the Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or the Sweepstakes shall be first negotiated informally and in good faith. For any dispute that Entrant initiates, Entrant agrees to first send a written description of any dispute to [email protected]. For any dispute that Sponsor initiates, Sponsor will send a written description to the email address associated with Entrant. This informal dispute resolution process is a prerequisite and condition precedent to commencing any formal dispute resolution proceeding. If Entrant and Sponsor are unsuccessful in resolving any dispute within sixty (60) days, Entrant and Sponsor agree that the dispute will be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). In the event that the AAA is not available to arbitrate, Entrant and Sponsor will select an alternative arbitration provider. Arbitration means that an arbitrator and not a judge or jury will decide the claim. The arbitrator shall be an expert in the field of marketing and promotions.

Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. Entrant acknowledges and agrees that, to the maximum extent allowed by law, there shall be no right or authority for any dispute to be arbitrated on a class, join, collective or consolidated basis or in a purported representative capacity on behalf of the general public. Unless both Entrant and Sponsor otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims.

Unless Entrant and Sponsor otherwise agree in writing, the arbitration shall be conducted in the county and state of New York. If the arbitrator finds that either the substance of Entrant’s claim or the relief sought in Entrant’s demand for arbitration was frivolous or was brought for an improper purpose (as measured by the standards set forth in Federal Rules of Civil Procedure 11(b)), Sponsor will have the right to recover attorneys’ fees and expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. Sponsor reserves the right to change this “Disputes” section, but any such changes will not apply to any individual claim(s) for which Entrant has already provided notice to Sponsor. [email protected], within 30 days of the date such change became effective. Notice must clearly state Entrant’s full name and clearly indicate the intent to reject changes to this “Disputes” section.

JURTY TRIAL WAIVER: EXCEPT AS PROHIBITED BY LAW AND AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT HEREBY WAIVES ANY RIGHT ENTRANT MAY HAVE TO A TRIAL BY JURY IN RESPECT TO ANY LITIGATION DIRECTLY OR INDIRECTLY ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS SWEEPSTAKES, ANY DOCUMENT OR AGREEMENT ENTERED INTO CONNECTION HEREWITH AND ANY OF THE TRANSACTIONS CONTEMPLATED HEREBY OR THEREBY

PUBLICITY: Except where prohibited by law, Entrant’s entry and/or acceptance of a Prize constitutes consent to the use of an Entrant’s name, image, voice, likeness, statements, biographical information, city and state of residence and/or photographs for promotional or advertising purposes in connection with this Sweepstakes on a worldwide, in perpetuity basis, and in all forms of media, now or hereafter known, in perpetuity, without review, permission, or further compensation or consideration. By entering this Sweepstakes and/or accepting a Prize, each Entrant agrees to participate in any and all publicity and promotional activities (except where prohibited) in connection with this Sweepstakes as reasonably designated by Sponsor. Sponsor is not responsible for human error, theft, destruction, or damage to entries, or other factors beyond its reasonable control.
